1. Acceptance of Terms
By registering for, accessing, or using the Spokiva Voice AI platform (the "Service"), you agree to be bound by these Terms of Service. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree with these Terms, you may not use the Service.
2. Service Description & Acceptable Use
Spokiva provides conversational AI infrastructure, synthetic voice generation, and telephonic agent hosting. You agree to use the Service strictly for lawful purposes and adhere to our Acceptable Use Policy. You shall NOT:
- Use the Service to generate deepfakes, impersonate real individuals without their explicit written consent, or deceive users.
- Generate defamatory, abusive, threatening, or illegal audio content.
- Attempt to reverse-engineer, decompile, or extract the underlying foundational voice models.
- Use the Service for robocalling, spamming, or violating telemarketing laws (e.g., TCPA).
3. Account Security
You are responsible for safeguarding your account credentials, API keys, and access tokens. Spokiva will not be liable for any loss or damage arising from your failure to protect your login information. You must notify us immediately of any unauthorized access or breach of security.
4. Intellectual Property
Our IP
All pre-made voices, underlying AI models, software, and the platform infrastructure remain the exclusive intellectual property of Spokiva, Inc.
Your Output
You retain ownership of all inputs (prompts, knowledge bases) you provide. Spokiva grants you a worldwide, royalty-free commercial license to use the generated audio output for your business, provided your use complies with these Terms.
5. Fees and Payment
Access to premium features requires payment. By selecting a subscription plan, you authorize Spokiva to charge your provided payment method on a recurring basis.
- Overage minutes are billed automatically at the end of your billing cycle.
- All fees are non-refundable unless otherwise required by law.
- We reserve the right to change our pricing upon 30 days notice.
6. Termination & Disclaimers
We reserve the right to suspend or terminate your account immediately if you violate these Terms, particularly our Acceptable Use Policy, without refund or liability.
DISCLAIMER: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SPOKIVA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco, California.
